Constitution

An Unincorporated Association

To further common purposes, the members agree to organize under this Constitution.

ARTICLE ONE
NAME

The name of this Association shall be “Our Lady of Angels Men’s Club". (“Our Lady of Angels” may be abbreviated as “OLA”.)

ARTICLE TWO
PRINCIPAL OFFICE

The principal office of the Association for the transaction of its business is located Our Lady of Angels Rectory, 1721 Hillside Drive, Burlingame, CA 94010 in San Mateo County, California.

ARTICLE THREE
PURPOSES

The purposes for which this Association is formed are:

(a) The specific and primary purposes are:

First: To encourage, promote and coordinate spiritual and social activities for the benefit and enrichment of its members and Our Lady of Angels’ parish.

Second: To promote and foster among its members a closer bond for their mutual benefit, to organize, promote and effectuate charitable activities, youth activities, social events and good will within the community.

Third: To do anything necessary and proper for the accomplishment of any purposes set forth herein or in the Association’s Bylaws.

Fourth: The Association is organized and operated exclusively for the above stated purposes, and for other nonprofit purposes. No part of any net earnings shall inure to the benefit of any private member.

ARTICLE FOUR
POWERS

In furtherance of, but not limited to, the objectives described above, the Association shall have the power, to the extent such power is conferred by law, to make and perform contracts for any lawful purpose, to engage in various funding and fund-raising activities and to acquire, own, hold, operate and maintain such property as to effectuate its purposes.

ARTICLE FIVE
GOVERNING BODY

The powers of the Association shall be exercised, its property controlled, and its affairs conducted by a Board of seven (7) Directors.

The qualifications, the time and manner of electing, the terms of office, the duties, compensation, if any, and the manner of removing Directors and filling vacancies shall be as set forth in the Bylaws of this Association.

ARTICLE SIX
OFFICERS

The Association shall have the following five (5) officers: President, First Vice-President, Second Vice-President, Secretary, and Treasurer. Other offices and officers may be established or appointed as provided for in the Association’s Bylaws. The qualifications, the time and manner of electing, the duties, the terms of office and the manner of removing officers shall also be set forth in the Bylaws.

ARTICLE SEVEN
STANDING COMMITTEES

The Association shall establish committees as set forth in the Bylaws. Initially, the following seven (7) standing committees shall be established: Culinary Committee, Community Events Committee, Fund Raising Committee, Membership Committee, Outreach Committee, Spiritual Committee, and Sports Committee. Other standing committees may be specified in the Bylaws and ad hoc committees may be established and appointed by the Board of Directors under the procedure set forth in the Bylaws.

ARTICLE EIGHT
MEMBERS

(a) The qualifications of members of the Association, the different classes of membership, if any, the voting and other rights and privileges of members, and their liability for dues and assessments, and the termination and transfer of membership shall be as stated in the Bylaws.

(b) If the voting or other rights or interests, or any of them, be unequal, the Bylaws shall set forth the rule or rules by which the voting or other rights or interests of each member or class of members are fixed and determined.

ARTICLE NINE
BYLAWS

After this Constitution haws been adopted, bylaws are to be adopted by the Association. The bylaws may be amended or repealed, in whole or in part, in the manner provided in such bylaws. The original bylaws, and amendments thereto, shall be binding on all members, including those who may have voted against them.

ARTICLE TEN
LIMITATION ON POLITICAL ACTIVITIES

No substantial part of the activities of this Association shall consist of the carrying on of propaganda, or otherwise attempting to influence legislation, nor shall this Association participate in or intervene in (including the publication or distributing of statements) any political campaign on behalf of or in opposition to any candidate for public office.

ARTICLE ELEVEN
CONSTITUTION

(a) The original or a copy of this Constitution, as amended to date, shall be kept by the Association in a manner authorized by the Board of Directors and shall be made available for inspection by all members or their agents at any reasonable time.

(b) This Constitution shall be amended only by resolution duly adopted by a majority of the Directors and by vote or written consent of seventy five (75) percent of the members of the Association and not otherwise.

ARTICLE TWELVE
DISSOLUTION

This Association shall be dissolved and its affairs wound up when the objects for which it is organized have been fully accomplished or by vote or written consent of five (5) of the Directors or seventy five (75) percent or more of its members, and not otherwise. On the dissolution or winding up of this Association, its assets remaining after payment of, or provision for payment of, all of its debts and liabilities shall be distributed to Our Lady of Angels parish.

This constitution is adopted on May 24, 1999, at 1721 Hillside Drive, Burlingame, San Mateo County, California.
